Statutes

§1 Name, registered office and financial year
1.1. The association bears the name “Deutsch-Algerischer Kultur- und Freundschaftsverein Anoor e.V.” (German-Algerian Cultural and Friendship Association Anoor e.V.).
1.2. After entry in the register of associations, it bears the suffix “e.V.”.
1.3. The association’s registered office is in Darmstadt.
1.4. The financial year is the calendar year.
§2 Non-profit status
2.1. The association pursues exclusively and directly charitable purposes within the meaning of the section “Tax-privileged purposes” of the German Fiscal Code (Abgabenordnung).
2.2. The association acts selflessly and does not primarily pursue its own economic purposes.
2.3. The association’s funds may only be used for the purposes set out in these statutes.
2.4. Members receive no payments from the association’s funds.
2.5. No person may be favoured by expenses that are alien to the purpose of the association or by disproportionately high remuneration.
§3 Purpose and tasks of the association
3.1. The purpose of the association is the promotion of education, culture and international understanding between Germany and Algeria within the meaning of sections 52 et seq. of the German Fiscal Code (AO).
3.2. The purpose of the statutes is realised in particular through:
- educational offers such as language courses (especially Arabic lessons), tutoring and workshops for children, young people and adults,
- organising and holding cultural events, talks, film evenings (e.g. on Algerian history), exhibitions and intercultural encounters,
- passing on knowledge of the history, culture and traditions of Algeria and promoting intercultural dialogue,
- supporting families with a migration background, in particular through advice on education, upbringing and integration,
- cooperation with other tax-privileged organisations and public institutions,
- holding cultural events with a religious character as part of intercultural exchange.
3.3 The association pursues its purposes directly within the meaning of section 57 AO and, to achieve its purposes, may also pass funds on to other tax-privileged organisations in accordance with section 58 no. 1 AO.
3.4. The association is politically independent and serves no political party.
3.5. The purpose of the statutes is realised in particular by holding talks, seminars, language courses, sports events and online courses as well as cultural events and excursions.
§4 Membership
4.1. Any natural or legal person who recognises the aims of the association may become a member.
4.2. Admission is by written application and a decision of the board.
4.3. Membership ends by resignation, exclusion or death.
4.4. Resignation must be declared in writing with three months’ notice to the end of the year.
4.5. Exclusion is possible for a serious breach of the association’s interests or for arrears in membership fees.

§5 Bodies of the association
The bodies of the association are:

§6 General meeting of members
6.1 The general meeting is the association’s highest body.
6.2. An ordinary general meeting is held once a year.
6.3. An extraordinary general meeting must be convened if at least one third of the members request it in writing from the board.
6.4. The board convenes the general meeting in writing with 14 calendar days’ notice. The notice period begins on the day the invitation is sent to the member’s last known address or the email address they provided.
6.5. The invitation states the agenda as well as the place and time of the meeting.
6.6. The general meeting elects the board, approves the annual report and discharges the board.
6.7 Minutes are taken of every general meeting. They must be signed by the chair of the meeting and the minute-taker.
§7 Board
7.1. The board consists of the chair, the deputy chair and the treasurer.
7.2. The board is elected by the general meeting for a term of two years.
7.3. The board conducts the association’s day-to-day business.
7.4. Each board member is authorised to represent the association alone.
§8 Finances
8.1. Income consists of membership fees, donations and other contributions.
8.2. The board decides on the use of funds within the framework of the statutes.
8.3. The general meeting elects an auditor for two years.
8.4 Members are obliged to pay a membership fee. The fee schedule was read out and, after discussion, adopted unanimously. The membership fee was set as a monthly fee of €15.00. It is due one month after the resolution.
§9 Amendments to the statutes
Amendments to the statutes require a two-thirds majority of the members present who are entitled to vote.
§10 Dissolution of the association
1. The dissolution of the association can only be resolved by a two-thirds majority.
2. If the association is dissolved or its tax-privileged purposes cease to apply, its assets pass to a legal entity under public law or to another tax-privileged organisation, to be used for the promotion of education and international understanding.
§11 Entry into force
These statutes were adopted at the founding meeting on 15.02.2026 in Darmstadt.
